Terms & Conditions of Sale & Warranty

The following Terms and Conditions of Sale apply to the sale of products described in this Product Guide. As used herein, “Seller,” “TCS Basys Controls,” or “TCS” refers to Temperature Control Specialties Company, Inc. as applicable, and “Buyer/End User” refers to the individual or business entity that purchases the Products from Seller. These terms shall apply unless the parties mutually agree to different terms and memorialize such agreement in writing signed by both Client and Seller.

 

By purchasing TCS Basys Controls products, buyer agrees that all of the following terms and conditions apply to every purchase and supersede any conflicting terms in any purchase order or acknowledgment:

• TCS provides a three-year warranty from invoice date on TCS manufactured products.
• This warranty is extended to five years from the date of installation on TCS turnkey projects.
• A one-year workmanship warranty from date of installation is provided on TCS turnkey projects.
  
  

Limited Warranty

TCS IS PROVIDING THIS WARRANTY IN LIEU OF ALL OTHER EXPRESS OR IMPLIED WARRANTIES, INCLUDING ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. THIS WARRANTY IS BUYER'S EXCLUSIVE REMEDY FOR ALL CLAIMS AGAINST TCS BASYS CONTROLS. TCS SHALL NOT BE LIABLE FOR ANY CONSEQUENTIAL OR INCIDENTAL DAMAGES. TCS' TOTAL LIABILITY FOR ALL CLAIMS SHALL BE LIMITED TO THE PRICE PAID FOR ITS PRODUCT. TERMS OF BUYER'S OR USER'S PURCHASE ORDER SHALL NOT SUPERSEDE THIS DISCLAIMER AND NO WARRANTY, EXPRESSED OR IMPLIED, OTHER THAN STATED HEREIN, SHALL BE EFFECTIVE UNLESS CONTAINED IN AN AGREEMENT SIGNED BY AN OFFICER OF TCS BASYS CONTROLS.

 

TCS Basys Controls promises buyer that any product sold by TCS shall be free from material defects or manufacturing defects for that product beginning from the manufacture date; provided, however, that the warranty shall not extend to ordinary wear and tear, or to normally replaceable components. During the warranty period, TCS Basys Controls may repair or replace (at its sole discretion) any product suffering from a warranty defect and returned to TCS (freight prepaid by buyer), with no charge to buyer for any warranty repair or replacement. The warranty shall remain in full force and effect for said period, provided that the product: (1) was installed, operated, and maintained properly; (2) has not been abused or misused; (3) has not been repaired, altered, or modified outside of TCS Basys Controls authorized facilities. This warranty provides specific legal rights that may be varied by local laws.

 

Special Orders

All special orders and custom-built parts designed to a Client's unique specifications are subject to the standard TCS warranty to be free from material and manufacturing defects. Overstock special orders are not returnable (e.g., custom built panels, TCS/1000-T3-XX, custom calibrated transmitter/sensor, custom labeled parts, SPL parts, etc).

 

Vendor Parts

All vendor parts that TCS Basys Controls buys and resells, commonly referred to as “P-Parts”, and having a part number beginning with “P” are subject to the warranty of the manufacturer of the part.

 

Returns

No product may be returned without a Return Authorization (RA) number provided by an account manager after troubleshooting has been completed with the Technical Support team. All returns and warranty claims must be delivered to the TCS Basys Controls address below, attention: RA# with the assigned RA number visible on the package.

NOTE: When returning serialized products such as UbiquiSTATs, bases and covers must be returned together and must each have the same serial number. QD devices and other devices shipped with components such as power transformers, must be returned with the same components they were shipped with. Returns with mismatched serial numbers or components will not receive credit.

 

New/Unused Items

Any material returned must have an RA number to be considered for credit. Material returned for credit is subject to:

• 15% restocking charge or $25.00, whichever is greater, if the product is unopened and returned within 90 days of shipment, or

• 25% or $35.00, whichever is greater, if opened or returned over 90 days from shipment,

• No returns allowed on product over 180 days (six months from shipment date).

Returns resulting from errors by the seller will not be subject to these charges. Shipments without a valid RA number may be subject to refusal of delivery and are not the Seller's responsibility. New and unused returned product shall be received in original packaging. Returned material must be shipped prepaid by the buyer.

 

Warranty Returns

Any material returned must have an RA number. Returned material is to be shipped prepaid by buyer. Product returned may be either repaired, replaced or credited under warranty. An advance replacement may also be requested. Advance replacements require a valid written P.O. in the form of fax or email, or prepaid at the time of request by credit card. Upon receipt, product will be returned to manufacturer for warranty evaluation. Standard lead time for warranty evaluation is two to four weeks from date manufacturer has received product back. Any product found to not be covered under warranty (customer damaged/no problem found) can either be returned to customer as is (shipping covered at the customer's s expense) or disposed of. 

Credit Policy

TCS Basys Controls will issue credit based on the original product invoice within 60 days from the date of receipt of the product. The credit will be issued in the original form of payment (e.g., if bought on account, credit will be issued to account). Customer agrees to apply unused credits to open invoices or future purchases on their account. Should credit remain unused after six months, TCS will apply unused credits to the oldest unpaid invoices on the account and provide customer with the appropriate details. Should any credits remain open after six months, TCS will issue a refund check as long as there are no open invoices on the account. TCS Basys Controls reserves the right to disallow this credit option in case of warranty abuse or improper installation.

Product Application Limitation

TCS Basys Controls products are designed for residential, commercial and industrial application ONLY. These parts are not designed for life or safety applications, and not intended for use in critical applications such as nuclear facilities, human implantable devices, life support, or safety. TCS is not liable, in whole or in part, for any claims or damages arising from such uses.

 

Warranty and Disclaimer

TCS Basys Controls believes that technical information, specifications, and instruction manuals herein are correct, but does not guarantee their accuracy or completeness. Since TCS Basys Controls does not control the use of its products, there are no express warranties that extend beyond the description contained herein. Terms of Buyer's or User's purchase order shall not supersede this disclaimer and no warranty, expressed or implied, other than stated herein, shall be effective unless contained in an agreement signed by an officer of TCS Basys Controls.
